General conditions of sale
1. Legality
a. These terms and conditions form an integral part of all agreements with Peternet Electronics BVBA. There can only be written in writing. They apply without prejudice to all other terms of the buyer, in so far as the latter are in conflict with the first. If any or all of these terms or conditions are or will remain illegal, all other terms remain without prejudice.
2. Transfer of property and risks
a. Peternet Electronics BVBA reserves the right to ownership of the goods sold until Peternet Electronics BVBA has received the full payment. Therefore, the buyer may not transfer the goods as long as it is not transferred or transferred to third parties. Peternet Electronics BVBA may at any time require advance payment or payment before delivery.
b. All risks related to the goods sold will be borne by the buyer as soon as these goods leave the warehouse of Peternet Electronics BVBA.
c. The transport is always at the risk of the buyer, even if the transport costs are charged to Peternet Electronics BVBA, even if the carriage is carried out by a Peternet Electronics BVBA vehicle.
d. All schematics, documentation, production processes, manuals, software, regardless of whether they belong to a device or electronic circuit, or not, electronically designed or manufactured by Peternet Electronics BVBA, are owned by Peternet Electronics BVBA. The client will never pass it on to third parties or multiply.
3. Payment terms
a. Our invoices are cash payable no later than the thirtieth day after the invoice date if no cash payment or advance payment is requested.
b. Each unpaid invoice will raise interest rates from 1.25% on a monthly basis from the due date without notice.
c. In addition, due to lack of payment on the due date, the debt will be increased by 15% of the invoice amount with a minimum of 75 Euro. This applies to flat-rate compensation for the expenses other than the interest rate loss and the actual court fees.
4. Pricing and delivery
a. Our offers are free of charge and are made without commitment and have a validity period of 30 days.
b. Delivery terms are met as strictly as possible, late delivery may never give rise to compensation or termination of the agreement, unless specifically stated on the order form in a special condition.
c. The customer is always required to buy after order. In case of refusal, all costs incurred will be borne by the customer and the amount of the invoice will be increased by 10%.
d. Visible damage must be reported immediately to the carrier and confirmed on the delivery note. Otherwise, the goods will be considered to be in good condition, without visible defects. After that, only invisible manufacturing errors can be considered as a complaint.
e. The additional costs that would be caused by damage to electrical installations or electrical appliances, by the customer or by third parties, are entirely borne by the customer.
f. For orders below 50 Euro, 12.50 Euro will be charged.
g. All our prices are always exclusive of VAT unless otherwise stated and may be changed by us without notice.
h. Partial deliveries will be invoiced separately and are payable separately.
i. The customer must cooperate at all times to enable Peternet Electronics BVBA to deliver or perform its products and services in a normal manner. The consequences and costs for not providing the necessary cooperation are at the expense of the customer.
5. Liability
a. As warranty terms only those that are given by the manufacturer or his representative of the goods sold.
b. Only the customer is responsible for accidents arising from the possession and/or use of electrical installations or electrical appliances. He thus looks after every story against Peternet Electronics BVBA. The customer is deemed to use electrical installations or electrical appliances in the correct and safe manner.
c. Peternet Electronics BVBA can not be held responsible for any costs other than those mentioned in the warranty terms that may result from the bad or non-functioning of the goods sold or repaired.
d. The customer is deemed to first test each repaired item before it is commissioned.
e. In the case of an order for the production or programming of print, devices or all other data carriers based on data provided by the customer, they declare all rights (ownership, copyright, etc.) on the device, component, software or design for which he can perform work. He takes on any loss or damage caused by unlawful duplication.
f. For the fulfillment of the warranty, Peternet Electronics BVBA can choose between repairing the defective goods, replacing the defects with a new one, retaking it and crediting the full cost. At the end, the customer must return the complete delivery to Peternet Electronics at his expense.
6. Complaints and competent court
a. Any complaints other than those mentioned in Art. 4d must be received by Peternet Electronics BVBA by registered letter, no later than the seventh day after the invoice date. Subsequently, only Peternet Electronics BVBA decides whether or not to declare the complaint admissible.
b. All our agreements are governed by Belgian law. For all disputes, only the courts in Gent are authorized.
